JOB TITLE: Legal Manager (Fixed-Term Position)

PURPOSE

Overseeing all of the Ocean Group legal functions. Providing accurate, relevant advice to the business. Manage and direct all Group’s legal transactions. Ensuring that all Group’s transactions comply with state laws and regulations, and actively assist the Group avoid legal risks and violations.

EXPERIENCE (Minimum necessary before being considered for the Job) Understanding of churn and out of contract

  • At least 5 years of professional experience practising in the legal field, preferably a corporate environment.
  • Mergers and Acquisition experience essential.
  • Drafting and reviewing legal documents.
  • Knowledge of Law regulating organisations & Acts.
  • Knowledge of other International Law will be an advantage.
  • Regulating and drafting of corporate contracts.
  • Handling Group labour relations matters.
  • Understanding of business processes.
  • Broad experience in and understanding of the Commercial industry.
  • Demonstrated ability to create legal defensive or proactive strategies.

Key Performance Areas Key tasks
1.        

 

VISION & STRATEGIC LEADERSHIP:

 

·         Give accurate and timely counsel to management in the group on variety of legal topics (agreements, labour law, partnerships, Mergers & acquisitions, Business law etc.).

·         Specify internal governance policies and regularly monitor compliance.

·         Provide clarification on legal language or specifications to everyone in the organization.

·         Ensure compliance with the internal controls, statutory regulations and other formalities.

2.         FINANCIAL AND BUDGETARY RESPONSIBILITIES

 

·         Ensure compliance with the internal controls, statutory regulations and other formalities.

·         Manage Service Level Agreements’ of the contracts to ensure a strong financial position in the group.

·         Manage the company legal costs where the group requires external counsel in legal proceedings.

3.         OPERATIONAL PLANNING AND MANAGEMENT

 

·          Ensure that Generic templates are in place, reviewed and updated where required, for all entities in the group.

·          Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights are exercised.

·          Back-up all signed agreements.

·          Follow up on all unsigned and expiring agreements.

4. INNOVATION ·          Keeping up with current changes on all relevant areas of laws and contributing to the enhancement of the knowledge base of the company’s legal function.
5. STAKEHOLDER MANAGEMENT ·          Negotiate with service providers, clients (or similar) on all contracts to ensure the group of companies requests are granted to the most realistic and favourable.

·          Deal with complex matters with multiple stakeholders and forces.

·          Execute procedures for protecting patents, trademarks, and industrial design.
